The "StockBay Membership Agreement" (hereinafter referred to as the "Agreement") is an agreement between the user (hereinafter referred to as the "User" or “you”) and StockBay, and StockBay will provide you with services in accordance with the contents of this agreement. If you do not agree to any of the terms in this agreement or subsequent amendments to the terms of the agreement, please do not use StockBay and related services. Your behavior will be regarded as your complete acceptance of all the terms of this agreement. If you are a minor, please read and judge whether you agree to this agreement with your legal guardian, paying special attention to the terms of use for minors. The minor's exercise and performance of the rights and obligations under this agreement shall be deemed to have been approved by the guardian.
StockBay provides you with services including but not limited to the following:
1. StockBay and related services provide you with a registration channel. You have the right to choose a legal combination of characters as your account and set a password that meets the security requirements. The account and password set by the user are the credentials for the user to log in and use StockBay and related services. If you are a minor, StockBay will restrict your use in accordance with relevant national laws, regulations and regulatory requirements.
2. You understand and promise that the account you set up shall not violate national laws and relevant StockBay rules, and shall not implement any behavior that infringes on national interests, harms the legal rights of other citizens, or harms social morals and customs, No illegal or bad information shall appear in registration information such as your account name, avatar and profile or other personal information, and no account shall be opened in another person's name (including but not limited to fraudulent use of another person's name, name, font size, avatar, etc.) without the permission of others. No malicious registration of StockBay accounts (including but not limited to frequent registration, batch registration of accounts, etc.). StockBay reserves the right to review the information you submit. In the process of account registration and use, you need to comply with the "seven bottom line" requirements of laws and regulations, the socialist system, national interests, legal rights of citizens, social public order, morals and customs, and the authenticity of information.
3. When registering, using and managing your account, you should ensure the authenticity of the identity information you fill in when registering your account. Please use true, accurate, legal and effective relevant identification materials and necessary information when registering and managing your account ( Including your name and e-mail address, contact number, contact address, etc.). If there are special regulations in national laws and regulations, you need to fill in real identity information. Please complete real-name authentication in accordance with relevant laws and regulations so that we can contact you when necessary and provide you with better services, and pay attention to timely update the above-mentioned related information. If the materials you submit or the information provided are inaccurate, untrue, illegal, or we have reason to suspect that the information is wrong, false or illegal, you may not be able to use StockBay or the service, or some of the functions may be affected during use.
1. Your account is only for your own use. Without the written consent of StockBay, it is prohibited to give, borrow, rent, transfer, sell or otherwise permit others to use the account in any form. If StockBay discovers or has reasonable grounds to believe that the user is not the initial registrant of the account, StockBay has the right to immediately suspend or terminate the provision of services to the registered account, or cancel the account to protect the security of the account.
2. You are responsible for maintaining the security and confidentiality of your personal account and password, and assume all legal responsibilities for the activities you engage in in the name of your registered account, including but not limited to any data modification you make on StockBay and related services, All legal liabilities that may arise from operations such as speech publication and payment. You should attach great importance to the confidentiality of account numbers and passwords, and do not disclose account numbers and passwords to others under any circumstances. If you find that someone else uses your account without permission or any other security breaches occur, you should notify StockBay immediately.
3. When you lose your account number or forget your password, you can follow StockBay's appeal channels to promptly appeal to retrieve your account or password. You understand and agree that StockBay's password retrieval mechanism only needs to identify the consistency between the information filled in the appeal form and the system records, and it cannot identify whether the claimant is a genuine account user. StockBay reminds you to keep your account and password properly. When you have finished using it, you should exit safely. If you suffer from account theft or password loss due to your own reasons such as improper custody or other force majeure factors, you will bear the corresponding responsibility.
4. If your account is stolen or lost due to malicious attacks by other people or your own reasons or other irresistible factors, you are solely responsible for it, and StockBay does not assume any responsibility.
5. If StockBay restricts your use of all or part of the functions of your account in accordance with this agreement and relevant rules, it may cause you a certain loss. You understand that the loss is borne by you, and StockBay is not liable.
6. In addition to registering a StockBay account yourself, you can also authorize the use of other software user accounts that you legally own, including but not limited to StockBay and/or its affiliates, and real-name registered third-party software user accounts to log in to use StockBay and related services. However, third-party software or platforms have restrictions or prohibitions. When you log in with the aforementioned existing account, you should ensure that the corresponding account has been registered in real-name, and the relevant terms in this agreement are also applicable.
7. You understand and agree that in addition to logging in and using StockBay and related services, you can also log in with your StockBay account to use other software and services provided by StockBay and its affiliates or cooperating third parties. When you log in with your StockBay account and use the aforementioned services, you will be bound by the "Membership Agreement" of the actual provider of the aforementioned services and other agreement terms.
8. The identity element is the basis for us to identify your identity, please be sure to keep it properly. Operations and instructions issued using identity elements are deemed to be made by you. If the account, password and other information is fraudulently used, misappropriated or illegally used due to your reasons, the risks and losses caused by this shall be borne by you. You agree that based on different terminals and your usage habits, we may take different verification measures to identify your identity.
9. You understand and agree that, in order to make full use of account resources, if you fail to log in for the first time after registration or use your account without logging in for more than one year, StockBay has the right to withdraw your account nickname.

After you cancel your StockBay account, you will no longer be able to log in and use StockBay and related services with this account. StockBay will also terminate the provision of our products and services to you under this account. And once the StockBay account is cancelled, it cannot be restored. 2. Without the written consent of StockBay or its affiliates, please do not apply, modify, decompile, copy, publicly disseminate, change, distribute, issue or publicly publish the relevant content of StockBay and its services without authorization.
3. Unless you have a written agreement with StockBay otherwise, none of the provisions in these terms of service grant you the right to use any of StockBay's product names, trademarks, service marks, logos, domain names and other distinctive brand features.
4. Respect for intellectual property rights is your obligation. If there is any violation, you need to be liable for damages.
5. You understand and agree that the text, pictures, videos, audios, etc. posted and uploaded when using StockBay and related services are originally created by you or have been legally authorized. The intellectual property rights of any content you upload and publish through StockBay belong to you or the original copyright owner. If a third party raises an objection to copyright or other legal rights, StockBay has the right to delete the relevant content according to the actual situation, and has the right to pursue your legal responsibility. StockBay fully respects the protection of user's personal information. STOCKBAY PRIVACY POLICY describes how StockBay handles your personal information when you use StockBay and related services. For any property-related network information, account passwords, loans, advertisements, or promotion information, users should treat it with caution and make their own judgments. Based on the foregoing reasons, you have suffered profit, business reputation, data loss or other tangible or intangible losses, StockBay Do not bear any direct, indirect, incidental, special, derivative or punitive compensation liability.

As the publisher of the content, you are responsible for the content you publish. All disputes caused by the content published shall be jointly and severally liable for all legal collections by the publisher of the content. StockBay does not assume any legal and joint liability.

You understand and agree that this agreement is to ensure compliance with national laws and regulations, maintain public order and good customs, and protect the legitimate rights and interests of others. StockBay will try its best to make judgments in accordance with relevant laws and regulations within the scope of its ability, but it does not guarantee that StockBay judgments are completely in line with the judicial The judgment of the agency and the administrative agency is consistent, if the consequences arising therefrom, you have understood and agreed to bear it yourself.
The validity, interpretation, modification, execution and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. Disputes arising from your use of our services and related to our platform services shall be settled by us through consultation with you. If the negotiation fails, either party may bring a lawsuit to the people's court where the defendant is located.

After StockBay terminates the provision of services to you, it has the right to delete your personal information or make it anonymized in accordance with the requirements of applicable laws, and it also has the right to continue to store other content and information you have left on our platform in accordance with laws and regulations.
5. You understand and agree that StockBay operators need to maintain or overhaul the provided services or related equipment on a regular or irregular basis. If such circumstances cause service interruption within a reasonable period of time, StockBay operators need not be responsible for this, but the StockBay operator should notify as much as possible in advance.

StockBay reserves the right to modify the terms of this agreement when necessary, please check the relevant content regularly. If the user continues to use the services involved in this agreement, it shall be deemed to have agreed to the modified content; if the user does not agree to the modified content, the user shall terminate this agreement and stop using the related services.
